1. Introduction

These Terms & Conditions ("Terms") govern your use of the YoLeave! platform ("Service", "Platform"), operated by YoLeave! Ltd ("we", "us", "our"), a company registered in England and Wales. By subscribing to or using the Service, you ("Customer", "you", "your") agree to be bound by these Terms.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. If you do not have such authority, or if you do not agree with these Terms, you must not use the Service.

2. Definitions

  • "Account" means the Customer's organisation workspace on the Platform.
  • "Admin" means the user with administrative privileges for the Account.
  • "Authorised User" means any individual granted access to the Platform by the Customer.
  • "Chargeable User" means an Authorised User who counts towards the billing calculation.
  • "Subscription Plan" means the Silver or Gold service tier selected by the Customer.
  • "Billing Period" means each calendar month during the Subscription Term.

3. Subscription Plans

3.1 Silver Plan

The Silver Plan provides access to leave management, sickness tracking, team calendar, role-based access controls, and email notifications. The Silver Plan does not include tardiness monitoring, document management, co-management (skip-level visibility), custom reports, or priority support.

3.2 Gold Plan

The Gold Plan includes all Silver Plan features plus tardiness monitoring, document management, co-management (skip-level manager visibility), custom reports (CSV and PDF export), and priority support.

3.3 Plan Changes

You may upgrade from Silver to Gold at any time. The price difference will be prorated for the remainder of the current Billing Period. Downgrades from Gold to Silver take effect at the start of the next Billing Period. Access to Gold-only features will be removed upon downgrade.

4. Free Trial

New Customers receive a 14-day free trial ("Trial Period") with full access to their chosen Subscription Plan. During the Trial Period:

  • You will not be charged any fees during the Trial Period.
  • No credit card or payment details are required to start your trial.
  • A reminder email will be sent on day 13 of the Trial Period.
  • If you do not cancel before the end of day 14, your subscription will automatically convert to a paid subscription and billing will commence on day 15.
  • You may cancel at any time during the Trial Period at no cost.

5. Fees and Payment

5.1 Monthly Subscription Fees

Subscription fees are calculated per Chargeable User per Billing Period:

  • Silver Plan: £2.50 per Chargeable User per month
  • Gold Plan: £3.50 per Chargeable User per month

5.2 Minimum Chargeable Users

Both plans require a minimum of 5 Chargeable Users. Regardless of the actual number of Authorised Users on the Account, you will be billed for no fewer than 5 users per Billing Period. The minimum monthly charge is therefore:

  • Silver Plan: £12.50 per month (5 × £2.50)
  • Gold Plan: £17.50 per month (5 × £3.50)

5.3 Billing Cycle

Fees are billed monthly in arrears. At the end of each Billing Period, we calculate the number of active Chargeable Users on your Account and charge accordingly (subject to the minimum of 5). Payment is due within 7 days of invoice date. All prices are exclusive of VAT, which will be added where applicable.

5.4 Late Payment

If payment is not received within 14 days of the invoice date, we reserve the right to suspend access to the Platform until the outstanding balance is settled. Accounts with payments overdue by more than 30 days may be terminated in accordance with Section 6.

6. Term and Termination

6.1 Minimum Commitment Period

All subscriptions are subject to a 12-month minimum commitment period("Minimum Term"), commencing from the date of subscription activation (i.e., after the Trial Period ends, or immediately if no trial is taken). During the Minimum Term, you may not cancel your subscription.

6.2 Cancellation After Minimum Term

After the Minimum Term, either party may terminate the subscription by providing 30 days' written notice. Notice must be submitted via the Platform's account settings or by emailing support@yoleave.com. Your subscription will remain active until the end of the notice period, and you will be billed for any usage during that time.

6.3 Early Termination

If you wish to cancel during the Minimum Term, you will be liable for the remaining monthly fees for the balance of the 12-month period, calculated based on your minimum Chargeable Users (5 users). This early termination fee is payable immediately upon cancellation.

6.4 Termination by Us

We may terminate or suspend your Account immediately if you:

  • Breach any material term of these Terms and fail to remedy such breach within 14 days of written notice.
  • Fail to pay outstanding invoices within 30 days of the due date.
  • Become insolvent, enter administration, or cease to operate.
  • Use the Platform in a manner that is unlawful or harmful to other users.

6.5 Effect of Termination

Upon termination, your access to the Platform will be revoked. You may request an export of your data within 30 days of termination. After 30 days, we reserve the right to delete all Account data in accordance with our data retention policies and applicable law.

7. Account Administration

The person who subscribes to the Service becomes the initial Admin. Admin privileges may be transferred to another Authorised User at any time, provided that at least one user retains Admin status at all times. Admins are responsible for managing Authorised Users, configuring organisation settings, and ensuring compliance with these Terms.

8. Data Protection and Privacy

We process personal data in accordance with our Privacy Policy and in compliance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.

The Customer acts as the Data Controller for employee data stored on the Platform. We act as the Data Processor, processing data solely on the Customer's instructions and for the purpose of providing the Service. A Data Processing Agreement (DPA) is available upon request.

Each Customer's data is logically isolated within the Platform. No Customer can access another Customer's data. We implement appropriate technical and organisational measures to protect data against unauthorised access, loss, or destruction.

9. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
  • Attempt to gain unauthorised access to any part of the Platform or its infrastructure.
  • Reverse engineer, decompile, or disassemble any part of the Platform.
  • Share login credentials between multiple individuals (each user must have their own account).
  • Upload malicious software, viruses, or harmful content to the Platform.
  • Use the Platform to store data unrelated to human resources and absence management.
  • Resell, sublicense, or redistribute access to the Platform without our prior written consent.

10. Intellectual Property

All intellectual property rights in the Platform, including its design, code, documentation, and branding, remain our exclusive property. Your subscription grants you a limited, non-exclusive, non-transferable licence to use the Platform for your internal business purposes during the Subscription Term.

You retain ownership of all data you upload to the Platform. By using the Service, you grant us a limited licence to process your data solely for the purpose of providing and improving the Service.

11. Service Availability and Support

We aim to maintain 99.9% uptime for the Platform. Scheduled maintenance will be carried out during off-peak hours where possible, with advance notice provided to Customers. Unscheduled downtime caused by events beyond our reasonable control (including but not limited to third-party service outages, natural disasters, or cyberattacks) shall not constitute a breach of these Terms.

Support is provided via email at support@yoleave.com. Gold Plan Customers receive priority support with faster response times. We do not guarantee specific response times but endeavour to respond to all enquiries within 2 business days (1 business day for Gold Plan).

12. Limitation of Liability

To the fullest extent permitted by law:

  • Our total aggregate liability arising out of or in connection with these Terms shall not exceed the total fees paid by you in the 12 months immediately preceding the event giving rise to the claim.
  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
  • We are not liable for any losses arising from your failure to maintain accurate or complete data on the Platform.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded or limited under applicable law.

13. Indemnification

You agree to indemnify and hold us harmless from any claims, losses, damages, liabilities, and expenses (including reasonable legal fees) arising out of or in connection with:

  • Your use of the Service in breach of these Terms.
  • Your violation of any applicable law or regulation.
  • Any data you upload to the Platform that infringes third-party rights.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified to you via email or through the Platform at least 30 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree to the changes, you may terminate your subscription in accordance with Section 6.

15. Changes to Pricing

We reserve the right to adjust subscription fees with at least 60 days' written notice. Price changes will take effect at the start of the next Billing Period following the notice period. If you do not agree to the new pricing, you may cancel your subscription at the end of your current Minimum Term or notice period, whichever is later.

16. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Before commencing legal proceedings, both parties agree to attempt to resolve any dispute through good-faith negotiation for a period of at least 30 days.

17. General Provisions

  • Entire Agreement: These Terms, together with the Privacy Policy and any applicable DPA, constitute the entire agreement between the parties.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
  • Waiver: No failure or delay by either party in exercising any right shall constitute a waiver of that right.
  • Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations to a successor entity in the event of a merger, acquisition, or sale of assets.
  • Force Majeure: Neither party shall be liable for delays or failures in performance caused by events beyond their reasonable control.
